Terms of Service

Agreement to Terms

By accessing or using MyDispatchHub ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Use License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

  • Access and use the Platform for your internal business operations
  • Allow authorized users within your organization to access the Service
  • Upload and process data necessary for dispatching operations

This license does not include the right to resell, redistribute, or create derivative works from our Service.

Account Responsibilities

Account Creation

To use our Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the authority to bind your organization to these Terms

Account Security

You are responsible for all activities that occur under your account. We recommend using strong passwords and enabling two-factor authentication where available.

Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for any unlawful purpose
  • Reverse engineer or decompile any part of the Platform
  • Share your account credentials with unauthorized parties

Payment Terms

Fees and Billing

You agree to pay all fees associated with your subscription plan. Fees are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Price Changes

We reserve the right to modify our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Late Payments

Failure to pay may result in suspension or termination of your account. We may charge interest on overdue amounts at the rate of 1.5% per month or the maximum permitted by law, whichever is lower.

Data and Privacy

You retain all rights to your data. By using our Service, you grant us the right to:

  • Process your data to provide and improve the Service
  • Use anonymized, aggregated data for analytics and research
  • Back up your data for disaster recovery purposes

Our Privacy Policy governs how we collect, use, and protect your data. By using the Service, you agree to our Privacy Policy.

Service Availability

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or damages resulting from service interruptions.

Intellectual Property

The Platform, including all software, designs, text, graphics, and other content, is owned by MyDispatchHub and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Termination

By You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in fraudulent activity. Upon termination, you will lose access to your account and data.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYDISPATCHHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Indemnification

You agree to indemnify and hold harmless MyDispatchHub from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.

Governing Law

These Terms shall be governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Platform. Continued use after changes constitutes acceptance of the modified Terms.
